You specifically acknowledge and agree that Crystal Laser Works is not liable for any defamatory, offensive, illegal or unsolicited messages or content supplied by third parties unaffiliated with Crystal Laser Works which you may receive. If you are dissatisfied with any information service or third party content which you receive, or with any of Crystal Laser Works terms and conditions, your sole and exclusive remedy is to discontinue using Crystal Laser Works. You also acknowledge that your subscriber agreement with Crystal Laser Works contains additional terms and conditions governing your rights and remedies with respect to your use of Crystal Laser Works services.

Termination:

This agreement is effective until terminated by Crystal Laser Works at any time without notice. In the event of termination, the restrictions imposed on you with respect to Materials downloaded, together with the disclaimers and limitations of liabilities set forth in this agreement, shall survive.

Trademark Information:

The names, logos, and taglines identifying Crystal Laser Works products and services are proprietary marks of Crystal Laser Works or its affiliates. All other trademarks and service marks are the property of their respective owners.

Billing Procedure:

Crystal Laser Works shall invoice Customer by the following: Credit card, IDEAL, Rabobank Direct or paper invoice. Crystal Laser Works customers, provided they meet all of the credit guidelines implemented by Crystal Laser Works, have the ability to select from among two monthly invoice formats. Those monthly invoice format options include: (i) accounts which are billed monthly and automatically to a credit card provided at the time the account is established; or (ii) accounts which are billed monthly by way of a paper invoice mailed to a Company billing address provided at the time the account is established. All fees and charges shall be due and payable by Customer within fourteen (14) days following the date of Crystal Laser Works’s invoice. Any balance not paid by such due date shall bear interest from and after the invoice date at the lesser of one and one-half percent (1½%) per month or the maximum rate of interest allowed by law. Amounts due and owing to Crystal Laser Works shall not be subject to offset or reduction for any reason. Crystal Laser Works, or a third party acting on Crystal Laser Works’s behalf, shall be authorized to prepare, process and negotiate credit card charge forms for any credit card account designated by Customer in and for all fees and charges (including, without limitation, all recurring and non-recurring fees and charges) payable by Customer under the Agreement. All sales, use and other such governmentally imposed or authorized taxes, fees, surcharges and/or assessments relating to this Agreement shall be paid by Customer. In addition to any other remedies available to Crystal Laser Works hereunder and at law, Crystal Laser Works shall have the option to immediately suspend Service and/or refuse to process additional Orders in the event Customer fails to timely meet the payment obligations outlined above. If Service is suspended, Crystal Laser Works shall have the further right to condition restoration of the Services on (i) Customer’s bringing the payable balance to current status, and/or (ii) payment of a $25.00 per Device reconnect fee. In order to dispute any fee or charge, Customer must raise such dispute in writing to Crystal Laser Works within ninety (30) days of the date of the invoice on which the disputed fee or charge appeared. Failure to timely notify Crystal Laser Works of any disputed fee or charge shall result in the invoice being deemed valid.

Disclaimer of Warranties and Limitation of Liabilities:

CRYSTAL LASER Works SHALL NOT BE LIABLE TO CUSTOMER OR ANY OTHER PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF USE OR LOST BUSINESS, REVENUE, PROFITS, GOODWILL OR ANY OTHER PECUNIARY LOSS, ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SERVICES, THE DEVICES, THE ACCESSORIES, THE SOFTWARE AND/OR THE INTENDED USE THEREOF, OR THAT RESULT FROM OR ARISE OUT OF ANY MISTAKES, ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, DELAYS IN OPERATION, OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, UNDER ANY THEORY OF TORT, CONTRACT, WARRANTY, STRICT LIABILITY OR NEGLIGENCE, EVEN IF CRYSTAL LASER Works HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBLITY OF SUCH DAMAGES

Indemnity:

Customer shall defend, indemnify and hold Crystal Laser Works and its affiliates harmless from and against any and all claims, liabilities, losses, damages and costs, including reasonable attorneys’ fees, resulting from, arising out of, or in any way connected with (i) any acts, errors, omissions and/or breach of any warranty, representation, agreement or obligation contained herein, including any violation of any duty imposed by law, by Customer and/or users of Customer’s Service account; (ii) the performance of Customer’s duties and obligations hereunder; or (iii) any use of the Services, Crystal Laser Works service or related products and documentation by Customer and/or users of Customer’s Service account. Customer’s obligations under this Section shall survive the termination of this Agreement.

Returns:

Any item returned to Crystal Laser Works shall be returned by customer in the same condition as received by Customer. Returns of items shall require a valid return material authorization (“RMA”) number provided by Crystal Laser Works. Crystal Laser Works shall not be responsible for any returns received that fail to identify a valid RMA number on the outside of the shipping container.
